The timing rule
Unlike most Form 720 lines, which are reported every quarter, the stock repurchase excise tax under IRC § 4501 is an annual item. You report it on the Form 720 for the first full calendar quarter after the close of your taxable year, with Form 7208 attached and the tax carried to IRS No. 150.
Calendar-year filers: April 30
If your tax year ends December 31, the first full quarter after that is the first quarter (January–March). The Form 720 for the first quarter is due by April 30 — so a calendar-year covered corporation reports its prior-year repurchases on the Q1 return, due April 30.
Fiscal-year filers
If you use a fiscal year, you report on the Form 720 for the first full quarter that follows your year-end. Because each quarter’s Form 720 is due the last day of the following month, your due date will be April 30, July 31, October 31, or January 31 depending on when your tax year closes.
If you file or pay late
Because Form 7208 rides on Form 720, the usual excise-tax penalties apply: a failure-to-file penalty of about 5% of the unpaid tax per month (up to 25%) and a failure-to-pay penalty of 0.5% per month, plus interest.
